Terms of Use and Service

This UD HELP TERMS OF USE AND SERVICE agreement ("agreement") is a conditional contract between UD Help ("UD Help", "UDHelp", "UD Help.com", "UDHelp.com", "our", "us", or "we") and you and/or the individual, entity, or organization you represent ("user", "you", or "your"). This agreement is contingent upon your use of UD Help's site(s), application(s), and service(s), as well as your acceptance of our Privacy Policy and other agreement(s) available at https://udhelp.com/legal.cfm as updated at any time, without notice. These terms include, but are not limited to, agreements that govern our relationship(s), pricing, or compliance with applicable laws, regulations, court orders, or other legal processes.

Definitions (Scope of Services)

We offer variety of products and services, including but not limited to: information, pleading samples, pleading templates, and judicial forms. All offerings are without warranty.

Information encompasses all content.

Pleading Samples are publicly filed pleadings, with or without, identifying information.

Pleading Templates are pleading samples intended for user editing.

Judicial Forms are publicly available forms, including local court forms.

Some of these services may require payment or subscription.

No Advice

The information available on or through our site(s), application(s), or service(s) are not intended to serve as legal advice and should not be used as such. No attorney-client relationship is established between you and us. Your use of the content, information, and services provided by UD Help is without warranty and at your own risk. UD HELP IS NOT A LEGAL PROVIDER AND THEREFORE CANNOT SUBSTITUE FOR APPROPRIATE LEGAL PROFESSIONALS.

Applicability

These Terms of Use and Service apply to all UD Help site(s), application(s), and service(s). This includes the website at www.udhelp.com, its application(s), service(s), and any linked site(s), application(s), and service(s) controlled by UD Help, its subsidiaries, and affiliates worldwide. Collectively, these are referred to as "site" or "sites." The site(s), application(s), and service(s) are owned by UD Help and its licensors.

Reservation of Rights; Limited Use License

UD Help reserves the right to change, modify, add or remove portions of these Terms of Use and Service at any time at its sole discretion. Users must check these terms periodically for changes. Continued use of the site(s), application(s), or service(s) after changes are posted indicates acceptance of those changes. Upon acceptance and compliance with these terms, UD Help grants a personal, non-exclusive, non-transferable, limited license to use the site(s), application(s), and service(s).

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "content" or "information"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such content, contained on the site(s), application(s), and service(s) are owned, controlled or licensed by or to UD Help, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms of Use and Service, no part of the site(s), application(s), or service(s), or its content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, (intra and/or inter) web site or other medium for publication or distribution or for any commercial enterprise, without UD Help’s prior and express written consent.

You may use information on UD Help site(s), application(s), and/or service(s) (such as data sheets, knowledge base articles, and similar materials) purposely made available by UD Help for downloading from the site(s), application(s) and/or service(s), provided that you (1) not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) not make any additional representations or warranties relating to such documents.

Site(s), Application(s) and/or Service(s) Usage Restrictions

You may not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the site(s), application(s) and/or service(s) or its content, or in any way reproduce or circumvent the navigational structure or presentation of the site(s), application(s), and/or service(s) or its content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the site(s), application(s) and/or service(s). UD Help reserves the right to limit and/or bar any such activity.

You may not attempt to gain unauthorized access to any portion or feature of the site(s), application(s) and/or service(s), or any other systems or networks connected to the site(s), application(s) and/or service(s) or to any UD Help server, or to the services offered on or through the site(s), application(s) and/or service(s), by hacking, password "mining" or any other illegitimate means.

You may not probe, scan or test the vulnerability of the site(s), application(s), and/or service(s) or any network connected to the site(s), application(s) and/or service(s), nor breach the security or authentication measures on the site(s), application(s) and/or service(s) or any network connected to the site(s), application(s) and/or service(s). You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the site(s), application(s) and/or service(s), or any other customer, client, partner and so forth of UD Help, including any UD Help account not owned by you, to its source, or exploit the site(s), application(s) or any service or information made available or offered by or through the site(s), application(s) and/or service(s), in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the site(s), application(s) and/or service(s).

You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to UD Help on or through the Site or any service offered on or through the site(s), application(s) and/or service(s). You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

You may not use the site(s), application(s) and/or service(s) or any content for any purpose that is unlawful or prohibited by these Terms of Use and Service, or to solicit the performance of any illegal activity or other activity which infringes the rights of UD Help or others.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the site(s), application(s) and/or service(s) or UD Help’s systems or networks, or any systems or networks connected to the site(s), application(s) and/or service(s) or to UD Help.

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the site(s), application(s) and/or service(s) or any transaction being conducted on the site(s), application(s) and/or service(s), or with any other person’s use of the site(s), application(s) and/or service(s).

Accounts, Passwords and Security

Certain features or services offered on or through the site(s), application(s) and/or service(s) may require you to open an account (including setting up a UD Help username and password). You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your username and password, and for any and all activity that occurs under your account as a result of your failure or negligence to keep this information secure and confidential. You agree to notify UD Help immediately of any unauthorized use of your account, username, or password, or any other breach of security. You may be held liable for losses incurred by UD Help or any other user of or visitor to the site(s), application(s) and/or service(s) due to someone else using your UD Help username, password, or account as a result of your failure or negligence to keep your account information secure and confidential.

You may not use anyone else’s UD Help username, password, or account, at any time. UD Help cannot and will not be liable for any loss or damage arising from your failure or negligence to comply with these obligations.

Privacy

UD Help’s Privacy Policy applies to use of the site(s), application(s) and/or service(s), and its terms are made a part of these Terms of Use and Service by this reference. Additionally, by using the site(s), application(s) and/or service(s), you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send using the site(s), application(s) and/or service(s) may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted.

Data Protection and Security

UD Help is committed to protecting your personal data. By using our site(s), application(s), and service(s), you agree to the collection, use, and storage of your personal data as outlined in our Privacy Policy. UD Help implements reasonable and appropriate security measures to protect your data. However, we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

Release of Information / Consent

You authorize UD Help the right to exchange, receive and/or provide to/from others, knowing your UD Help username, password, your objects, and/or data.

This consent is perpetual and can be revoke by a notarized written request to delete your account and delivered by any verifiable method of mail delivery to our office. For posthumous notice, verification of such death, by a government agency, can be submitted along with legal documents showing the requestor is an individual and/or entity who(m) is(are) authorized to act on behalf of the user or their estate. Upon receipt and approval your account will be deleted within fifteen (15) business days.

User-Generated Content

By submitting content to UD Help's site(s), application(s), or service(s), you grant UD Help a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media. You represent and warrant that you own or control all rights to the content you submit and that the content is accurate, non-infringing, and compliant with applicable laws.

Use of Artificial Intelligence

UD Help may utilize artificial intelligence (AI) technologies to enhance and optimize our site(s), application(s), or service(s), including but not limited to:

Improving user experience by providing personalized recommendations and responses.

Analyzing user interactions to improve service quality and efficiency.

Automating certain processes to facilitate smoother operation of the platform.

By using our site(s), application(s), or service(s), you acknowledge and agree to the following:

AI-driven Insights: UD Help may generate insights and analytics based on data collected from user interactions. These insights are used to improve our site(s), application(s), and service(s) and may be shared with our partners or affiliates in an aggregated and anonymized form.

Data Processing: AI technologies may process personal data as outlined in our Privacy Policy. We take measures to ensure compliance with applicable data protection laws and regulations.

Accuracy and Limitations: While UD Help strives to provide accurate and reliable information through AI technologies, we do not guarantee the accuracy, completeness, or reliability of any AI-generated content or recommendations. Users are encouraged to verify critical information independently.

UD Help reserves the right to modify, suspend, or discontinue the use of AI technologies within our site(s), application(s), or service(s) at any time without prior notice. Your continued use of the site(s), application(s), or service(s) constitutes acceptance of any changes or updates to our use of AI technologies.

Intellectual Property Infringement Claims

UD Help respects the intellectual property rights of others. If you believe that your intellectual property rights have been infringed, please provide us with a signed written notice that includes: (1) a description of the copyrighted work or other intellectual property that you claim has been infringed; (2) a description of the material that you claim is infringing and where it is located; (3) your contact information; (4) a statement by you that you have a good faith belief that the disputed use is not authorized by the intellectual property owner, its agent, or the law; (5) a statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the intellectual property owner or authorized to act on the owner’s behalf; and (6) your electronic or physical signature.

Communications and Notifications

By using UD Help’s site(s), application(s), and/or service(s), you agree to receive communications from us electronically. We will communicate with you by email or by posting notices on the site(s). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may communicate with us through our contact us page.

Third-Party Access

You may authorize UD Help to share your personal information with individuals and/or organizations providing community-based assistance, financial resources, unlawful detainer assistance, legal document assistance, or licensed to practice law and whom have obtained and currently maintaining, if required, proper registration with a government agency. Additionally, UD Help may share your personal information in performing statistical analysis or during auditing and maintance of our site(s), application(s), or service(s).

UD Help reserves the right to restrict access to our service and subsequently a user's object(s) and/or data through various options, including but not limited to, systems designed to reduce or prevent denial of service attacks, requiring registration of those seeking such access, etc.

Third-Party Payment Processors

UD Help uses third-party payment processors to process transactions. By making a purchase on or through the site(s), application(s), and/or service(s), you agree to our sharing of your personal information and be bound by the terms and conditions of these third-party payment processors. UD Help is not responsible for any errors or issues that occur during the payment process.

Purchases/Subscriptions

UD Help may make changes to any products or services offered on the site(s), application(s) and/or service(s), or to the applicable prices for any such products or services, at any time, without notice. The materials on the site(s), application(s) and/or service(s) with respect to products and services may be out of date, and UD Help makes no commitment to update the materials on the site(s), application(s) and/or service(s) with respect to such products and services.

UD Help may offer subscription-based features on the site(s), application(s) and/or service(s). By subscribing user consents to automatic advance billing using the payment method provided during checkout, with or without advance notice. However, failure to update and/or maintain an available funding source will result in deactivation and deletion of subscription-based features.

UD Help purchases and subscriptions are provided without warranty.

Non-Refundable Setup Fee and Other Fees

UD Help will charge user a non-refundable setup fee or access fee to use certain features, including pleading samples, templates, or other service(s). Additionally, other specifically indicated items available on the site(s), application(s) and/or service(s) are non-refundable.

Due Charges / Invoicing

UD Help will make attempt(s) to notify user, in advance, of the charges. UD Help is limited in its ability to verify actual receipt of the due charges and/or invoice by the user. Therefore, user agrees to issue payment to UD Help at the time of service(s) for the charges, with or without notice and/or invoicing.

Payment Disputes

User reserves all rights to dispute any due charge and/or invoice by the time of the last USPS mail pickup time, at their local post office, within fifteen calendar (15) days. If the fifteenth (15th) calendar day falls on a non-business day, of their local post office, the time period is extended by two business (2) days. Postmark date determines the date of the dispute. User electing to dispute by electronic means must do so by 11:59PM on the fifteenth (15th) calendar day, by a receipt verifiable method.

Cancelation of Service

User reserve all rights to cancel their services at any time, without prior notice and/or cause. Upon cancelation of service UD Help will cause all stored objects to be removed from their cloud storage, if any. Once deleted the objects are non-recoverable by either party. To request cancelation, please contact us.

Termination of Service

UD Help reserves the right to terminate service, with or without notice and/or cause, and therefore UD Help bears no liability for such action(s), to you, your family, estate or alike, for any damages. Typically, our termination of service can result from, but not limited to, violation of the Terms of Use and Service, contract disputes, users' failure to pay for ongoing services, engaging in illegal activity, new or existing laws, regulations, court order or other legal due process.

Refunds

Once any pleading sample, pleading template, or other paid service or product is accessed no refunds will be issued. In the event a purchase was made in error the user(s) MUST NOT download or access any of the purchased content and contact us immediately, by email, within SEVEN (7) DAYS of purchase. We use an integrated tracking system to monitor when documents are accessed by a user.

UD HELP SITE(S), APPLICATION(S) AND SERVICE(S) ARE PROVIDED WITHOUT WARRANTY. NO PROMISE IS EXTENDED, EXPRESSED NOR IMPLIED, TO THE USER, THAT ANY CONTENT, SERVICE, FEATURE, APPLICATION, MATERIAL OR SITE WILL BE ERROR-FREE, TIMELY, ACCURATE, RELIABLE, SECURE, UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE SITE(S), APPLICATION(S) OR SERVICE(S) WILL PROVIDE SPECIFIC OR EXPECTED RESULTS TO THE USER. THE SITE(S), APPLICATION(S) AND SERVICE(S) AND THEIR CONTENTS ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. This disclaimer also applies to any damages, liability and/or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence and/or any other cause of action.

UD Help reserves the right, at any time, with or without notice: (1) to modify, suspend and/or terminate operation of and/or access to the site(s), application(s) and/or service(s), or any portion of the site(s), application(s) and/or service(s), for any reason; (2) to modify or change the site(s), application(s) and/or service(s), or any portion of the site(s), application(s) and/or service(s), and any applicable policies or terms, for any reason; and (3) to interrupt the operation of the site(s), application(s) and/or service(s), or any portion of the site(s), application(s) and/or service(s), as necessary to perform routine or non-routine maintenance, error correction, or other changes.

Limitation of Liability

Except where prohibited by law, in no event will UD Help be liable to user(s) for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if UD Help has been advised of the possibility of such damages.

If, notwithstanding the other provisions of these Terms of Use and Service, UD Help is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the site(s), application(s), service(s) or any content, UD Help’s liability shall in no event exceed the lesser of: (1) the total of any purchase, subscription or similar fees with respect to any service or feature of or on the site or application paid in the three (3) months prior to the date of the initial claim made against UD Help; or (2) US $50.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Defending, Indemnifying and Holding Harmless

You agree to defend, indemnify and hold UD Help, its owners, officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims and/or expenses (including attorneys’ fees), made against UD Help by any third party due to or arising out of or in connection with your use of the site(s), application(s) and/or service(s).

Force Majeure

UD Help shall not be considered in breach of or default under these Terms of Use and Service or any contract with you, and shall not be liable to you for any cessation, interruption, or delay in the performance of its obligations by reason of earthquake, flood, fire, storm, lightning, drought, landslide, hurricane, cyclone, typhoon, tornado, natural disaster, act of God or the public enemy, epidemic, pandemic, famine or plague, explosion, insurrection, war, terrorism, armed conflict, labor strike, lockout, boycott, changes in applicable laws, regulations, court order, action of a public authority or other legal due process, or similar event beyond our reasonable control, whether foreseen or unforeseen. Force majeure extending beyond a reasonable time or 30 days in the aggregate, UD Help may immediately terminate these Terms of Use and Service and shall have no liability to you as a result of any such termination.

Other Terms and Conditions

Additional terms and conditions may apply to specific portions or features of the site(s), application(s) and/or service(s), including but not limited to, California Consumer Notice, contests, promotions or other similar features, all of which terms are made a part of these Terms of Use and Service by this reference. You agree to abide by such other terms and conditions, including where applicable representing that you are of sufficient legal age to use or participate in such service or feature. If there is a conflict between these Terms of Use and Service and the terms posted for or applicable to a specific portion of the site(s), application(s) and/or service(s) or for any service offered on or through the site(s), application(s) and/or service(s), the latter terms shall control with respect to your use of that portion of the site(s), application(s) and/or service(s) or the specific service.

Links to Other Sites and to UD Help

The site(s), application(s) and/or service(s) may contain links to other independent third-party web sites ("Linked Sites"). These Linked Sites are provided solely as a convenience to our users and/or visitors. Such Linked Sites are not under UD Help’s control, and UD Help is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You will need to make your own independent judgment regarding your interaction with these Linked Sites.

Violation of These Terms of Use and Service

UD Help may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the site(s), application(s) and/or service(s), or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) UD Help’s rights or property, or the rights or property of visitors to or users of the site(s), application(s) and/or service(s), including UD Help’s customers. UD Help may disclose your information when UD Help determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes. UD Help reserves the right at all times to disclose any information that UD Help deems necessary to comply with any applicable laws, regulations, court order or other legal due process.

You acknowledge and agree that UD Help may preserve any transmittal or communication by you with UD Help through the site(s), application(s) and/or service(s) or any product or service offered on or through the site(s), application(s) and/or service(s), and may also disclose such data if required to do so by applicable laws, regulations, court order or other legal due process or UD Help determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use and Service, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of UD Help, its employees, users of or visitors to the site(s), application(s) and/or service(s), and the public.

You agree that UD Help may, in its sole discretion and without prior notice, terminate your access to the site(s), application(s) and/or service(s) and/or block your future access to the site(s), application(s) and/or service(s) if we determine that you have violated these Terms of Use and Service or other agreements or guidelines which may be associated with your use of the site(s), application(s) and/or service(s). You also agree that any violation by you of these Terms of Use and Service will constitute an unlawful and unfair business practice, and will cause irreparable harm to UD Help, for which monetary damages would be inadequate, and you consent to UD Help obtaining any injunctive or equitable relief that UD Help deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies UD Help may have at law or in equity.

You agree that UD Help may, in its sole discretion and without prior notice, terminate your access to the site(s), application(s) and/or service(s), for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the site(s), application(s) and/or service(s) or any service offered on or through the site(s), application(s) and/or service(s), or (4) unexpected technical issues or problems.

If UD Help does take any legal action against you as a result of your violation of these Terms of Use and Service, UD Help will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to UD Help. You agree that UD Help will not be liable to you or to any third party for termination of your access to the site(s), application(s) and/or service(s) as a result of any violation of these Terms of Use and Service.

Governing Law; Dispute Resolution; Language

You agree that all matters relating to your access to or use of the site(s), application(s) and/or service(s), including all disputes, will be governed by the laws of the United States and by the laws of the State of California without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Orange County, California, and waive any objection to such jurisdiction or venue. Any claim under these Terms of Use and Service must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees, up to a maximum of one hundred dollars ($100.00). In the event of any controversy or dispute between UD Help and you arising out of or in connection with your use of the site(s), application(s) and/or service(s), the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed ninety (90) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law. To the fullest extent permitted by applicable law, arbitration proceedings and disputes shall proceed solely on an individual basis. Neither party shall seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity. UD Help does not knowingly collect personal information from kids, under the age of 13. Right of Rescission
